HONG KONG SAR - Media OutReach Newswire - 9 February 2026 - International Entertainment Corporation (the "Company", together with its subsidiaries, the "Group"; HKEX stock code: 1009) will hold an extraordinary general meeting (the "EGM'') on 26 February 2026 at 11:00 a.m. for shareholders to vote on resolutions related to the proposed issuance of up to HK$1.6 billion convertible notes (the "Notes") to DigiPlus Interactive Corp. (the "Subscriber") (Philippine Stock Exchange stock symbol: PLUS). DigiPlus Interactive Corp., named as one of the Fortune Southeast Asia 500, together with its subsidiaries, is an innovative digital entertainment group in the Philippines and is a leader in the casinos and gaming industry. On 17 November 2025, the Company entered into the Subscription Agreement with the Subscriber, pursuant to which the Company conditionally agreed to issue and the Subscriber conditionally agreed to subscribe for the Notes in two tranches with a maturity of five years and an interest rate of 3% per annum. Upon full conversion of the Notes at the initial Conversion Price, a total of 1,600,000,000 Shares will be issued by the Company, representing approximately 53.89% of the issued share capital of the Company as enlarged by the issue and allotment of the Conversion Shares. As such, the Subscriber will be obliged to make a mandatory general offer pursuant to Rule 26.1 of the Takeovers Code, unless the Whitewash Waiver is granted and approved. The initial Conversion Price of HK$1.00 per Conversion Share represents a discount of approximately 3.85% to the closing price of HK$1.04 per Share as quoted on the Stock Exchange on the Latest Practicable Date (6 February 2026). The board of Directors (the "Board") believes that the Subscription would be beneficial to improving and strengthening the Group's liquidity and financial position on a longer-term basis. In the event that the Subscriber converts part or the full amount of the Notes into the Conversion Shares, it will also broaden the shareholder and capital base of the Company. The Group intends to apply part of the net proceeds raised from the issuance of the Notes of approximately HK$489.22 million for the early repayment of the Promissory Notes and interest accrued thereon (the "PN Repayment"), and approximately HK$392.39 million to early repay the Secured Bank Borrowing to achieve immediate interest savings. The remaining net proceeds will primarily be used for funding the Investment Commitment and attractive investment/business opportunity(ies); and as general working capital of the Group. The Investment Commitment is currently expected to include capital investments for acquisition of land for the expansion of the Group's integrated resort in Manila City in the Philippines (the ''Hotel'') and the construction of additional hotel rooms, for provision of other amenities of the integrated resort, and for ongoing upgrades, refurbishments and renovations to the facilities and infrastructures of both the Hotel and the Group's existing casino (the "Casino"). The Independent Board Committee, which comprises all the independent non-executive Directors, is of the opinion that (i) the terms of the Subscription Agreement are on normal commercial terms, and the terms of the Subscription, the Whitewash Waiver and the Special Deal (the PN Repayment to the PN Holder) are fair and reasonable so far as the Independent Shareholders are concerned; and (ii) the Subscription, the Whitewash Waiver and the Special Deal are in the interests of the Company and the Shareholders as a whole and as far as the Independent Shareholders are concerned. It, therefore, recommends the Independent Shareholders to vote in favour of the relevant resolution(s) to be proposed at the EGM. Joining a growing group of countries worldwide, Globe's partnership with Starlink marks a historic milestone in global connectivity. Philippine President Ferdinand R. Marcos Jr. graces the signing of the partnership between Globe and Starlink’s Direct-to-Cell satellite service, the first in Southeast Asia, aimed at expanding digital inclusion and reliable connectivity nationwide. Joining him (left to right): Globe President and CEO Carl Cruz, DICT Secretary Henry Aguda, Globe Chairman Jaime Augusto Zobel de Ayala, Taguig District Representative Hon. Jorge Daniel Bocobo, and Starlink Senior Partnerships Manager Damien Innes. Using satellite technology, Filipinos using standard LTE mobile phones will be able to access data, voice, and messaging services directly via satellite, requiring nothing more than a clear view of the sky. This breakthrough eliminates the need for specialized devices and extends mobile reach to areas where terrestrial coverage is limited or impossible to deploy, critical in an archipelagic nation of more than 7,600 islands. Leveraging Starlink's constellation of over 650 low‑Earth orbit satellites, Globe is addressing one of the world's most pressing challenges, bridging connectivity gaps in geographically isolated and disadvantaged areas. The service will also play a vital role in disaster resilience, ensuring uninterrupted communication for citizens and first responders during extreme weather events and natural disasters. "This partnership with Starlink marks a historic step in our mission to build a digitally inclusive nation," said Carl Cruz, President and CEO of Globe Telecom. "Today, connectivity is a lifeline, a modern‑day utility that fuels opportunity and economic progress. By extending mobile reach through satellite technology, we are ensuring that every Filipino, whether in bustling cities or remote barangays, has access to essential communication." Starlink's Direct‑to‑Cell service, developed by SpaceX, acts as a "cell tower in space," seamlessly integrating with terrestrial networks and enabling global roaming‑like connectivity. Already connecting hundreds of millions of customers, Starlink has proven indispensable in emergencies, delivering millions of SMS messages and wireless emergency alerts when ground networks fail. With Globe as its partner in the Philippines, Starlink's DTC service will empower households, businesses, and communities with reliable, consistent connectivity. This collaboration underscores Globe's vision of a more connected, resilient, and inclusive digital future, not just for the Philippines, but as part of a broader global movement to make universal connectivity a reality.

The Role of Limousine Services in UHNW Travel: VIP Global’s Perspective

For ultra-high-net-worth (UHNW) travelers, mobility is not a convenience. It is a mechanism of control—over time, privacy, and personal exposure. At this level, transportation decisions are rarely delegated casually; they are calibrated to support discretion, composure, and predictability across cities and continents. In Taipei, where elite global travelers increasingly conduct business, maintain residences, and engage socially, limousine services have taken on a distinctly strategic role. At the center of this evolution stands VIP Global, whose limousine service has become a reference point for UHNW clients seeking reliability without public visibility. VIP Global’s perspective is clear: for UHNW travelers, limousine services are not about being seen. They are about remaining in control. UHNW Travel Is Defined by Control At the UHNW level, travel is rarely spontaneous. Schedules are fluid but deliberate. Movements are purposeful. Exposure is managed carefully. Limousine services, in this context, function as control systems. They allow UHNW individuals to determine how and when they appear, how long transitions take, and how much attention is drawn. VIP Global structures its limousine services around this reality. Vehicles, chauffeurs, and execution protocols are designed to support control rather than spectacle—an approach that resonates strongly with elite travelers. Comfort as a Baseline, Not a Feature Comfort is assumed by UHNW clients. It is not negotiated or highlighted. VIP Global’s limousine fleet is curated to deliver consistent ride quality, acoustic calm, and interior familiarity. These elements create an environment where clients can decompress, prepare, or remain undisturbed. This comfort is not ornamental. It is functional—supporting long days, compressed schedules, and frequent transitions without fatigue. Discretion Without Performance Discretion is often misunderstood as invisibility. For UHNW travelers, it is more nuanced. VIP Global’s limousine service practices discretion without performance. Vehicles are refined but understated. Branding is minimal. Chauffeur conduct is professional and restrained. The service does not attempt to conceal clients theatrically. It simply avoids unnecessary attention—allowing UHNW travelers to move naturally without signaling status publicly. Why Limousine Services Matter More Than Ever As global attention intensifies around UHNW individuals—through media, markets, and social visibility—the importance of controlled mobility increases. Airports, hotels, and event venues are high-exposure environments. Limousine services bridge these spaces, shaping how UHNW travelers experience transitions. VIP Global’s role is to make those transitions quiet, predictable, and secure—reducing friction and exposure simultaneously. The Chauffeur as a Discretion Professional For UHNW clients, the chauffeur is not a service personality. They are a discretion professional. VIP Global’s chauffeurs are trained to operate with minimal footprint. Conversation is limited. Awareness is high. Judgment is exercised continuously. This training ensures that chauffeurs understand when presence is required and when absence is preferred—a critical distinction for elite travelers. Reliability as Emotional Security UHNW travel is demanding. Reliability provides emotional security by removing uncertainty. VIP Global’s limousine services are engineered for predictable execution. Vehicles arrive prepared. Timing is respected. Adjustments are managed internally. For UHNW clients, this reliability allows attention to remain on priorities rather than logistics—a subtle but powerful benefit. Limousine Services and Personal Autonomy UHNW individuals value autonomy above most things. Driving oneself introduces responsibility and exposure; relying on inconsistent services introduces risk. VIP Global’s chauffeur-driven limousine services preserve autonomy by removing operational burdens while maintaining personal control over movement. Clients remain passengers by choice, not necessity—a distinction that matters deeply at this level. Privacy as a Continuous Requirement Privacy for UHNW travelers is not episodic. It is continuous. VIP Global embeds privacy into its limousine operations through controlled interactions, low-profile execution, and strict confidentiality discipline. This approach ensures that privacy is preserved not just during high-profile events, but throughout daily life in the city. Limousine Services as Lifestyle Infrastructure For many UHNW clients, Taipei is not a stopover—it is a base. In these cases, limousine services function as lifestyle infrastructure, supporting daily routines across business, personal, and social engagements. VIP Global’s limousine service integrates seamlessly into this lifestyle, providing consistency that allows clients to settle into the city without compromise. Why UHNW Clients Reject Transactional Models Transactional transportation models introduce variability. Different vehicles, unfamiliar drivers, and inconsistent standards disrupt routine. UHNW clients reject this unpredictability. VIP Global’s limousine services offer continuity—stable vehicles, disciplined chauffeurs, and uniform execution. Over time, the service becomes familiar without becoming casual. Aligning With Global Elite Norms UHNW travelers live globally. Their expectations are shaped by experiences in Monaco, London, New York, Singapore, and Geneva. VIP Global aligns its limousine services with these global norms. The experience feels natural, restrained, and professionally managed. This alignment reassures elite travelers that Taipei meets their lifestyle standards. Managing Visibility in a Digital Age In an era of ubiquitous cameras and instant sharing, visibility carries new risks. VIP Global’s limousine services mitigate these risks by minimizing spectacle and controlling exposure during arrivals and departures. For UHNW clients, this protection is increasingly valuable. Limousine Services and Personal Brand Protection UHNW individuals often manage personal brands alongside business interests. Mobility choices influence perception. VIP Global’s understated limousine services support brand protection by avoiding unnecessary signaling. Arrivals are calm. Departures are quiet. Focus remains on substance. Consistency Over Time Builds Trust Trust among UHNW clients is built slowly and lost quickly. VIP Global’s limousine services maintain consistency across repeated engagements, extended stays, and evolving schedules. This endurance builds trust that extends beyond individual journeys. Why Discretion Drives Loyalty UHNW loyalty is rarely influenced by marketing. It is earned through discretion. VIP Global’s reputation among elite travelers reflects this reality. Clients return because the service respects boundaries and preserves privacy. In UHNW travel, that respect is decisive. The Limousine as a Controlled Space For UHNW clients, the limousine is a controlled space between public environments. VIP Global’s vehicles provide that control—quiet, private, and predictable. This control allows clients to recalibrate between engagements without exposure. Supporting Multi-City Lifestyles Many UHNW individuals operate across multiple cities with similar expectations everywhere. VIP Global’s limousine services mirror international standards, allowing Taipei to fit seamlessly into multi-city lifestyles. This compatibility enhances the city’s appeal to elite travelers. Why VIP Global’s Perspective Resonates VIP Global’s perspective on limousine services resonates because it aligns with how UHNW clients actually live. It prioritizes control over display, consistency over novelty, and discretion over attention. These priorities define elite travel today. A Quiet Reputation Among the Elite VIP Global’s reputation among UHNW travelers has grown quietly—through repeated use and peer recognition. The service does not advertise its clients. Its clients recognize the service. In elite circles, that recognition is the strongest endorsement. Limousine Services as a Long-Term Commitment For UHNW clients, services must endure. Short-term excellence is insufficient. VIP Global’s limousine services are designed for longevity, maintaining standards over years rather than moments. This durability explains the firm’s standing among elite global travelers. Why Visibility Is the Wrong Metric Visibility is often mistaken for success in luxury services. VIP Global measures success differently—by absence of friction, absence of exposure, and absence of issues. For UHNW clients, these absences define quality. Redefining UHNW Limousine Travel in Taipei VIP Global has redefined limousine travel in Taipei by aligning it with UHNW priorities. The service supports control, comfort, and discretion without compromise. This redefinition elevates both the service and the city. The Future of UHNW Mobility As UHNW travel becomes more complex and visible, demand for disciplined limousine services will continue to rise. VIP Global’s approach positions it at the forefront of this evolution—serving clients who value reliability without public visibility. About VIP Global VIP Global is Taiwan’s premier provider of high-end mobility and hospitality solutions, serving ultra-high-net-worth individuals, Fortune 500 corporations, and international organizations with uncompromising standards of professionalism and discretion. Headquartered in Taipei, VIP Global delivers a fully integrated suite of services including MICE Tourism, Event Staffing Service, Event Transportation, Concierge Service, Airport Transfer Service, Car Hire Service, Limousine Service, and Airport Fast Track Service. Through disciplined execution, premium fleets, and professionally trained personnel, VIP Global has established itself as the benchmark for luxury mobility and executive support in Taiwan. UQPAY Launches Commercial-Grade x402 Stablecoin Platform, Powered by UCP

SYDNEY, Feb. 8, 2026 /PRNewswire/ -- UQPAY Australia (UQPAY AU) today announced the launch of a commercial-grade, custodial, and compliant stablecoin acquiring platform designed to support both traditional merchant payments and AI-initiated autonomous transactions. UQPAY's solution is fully compatible with the Universal Commerce Protocol (UCP) and natively supports the x402 payment protocol (an AI-native payment standard). It delivers a production-ready payment infrastructure that integrates on-chain acquiring, enterprise-grade custody, fiat settlement, and AI-native payment execution within a single governed system. The platform supports multiple regulated stablecoins, including USDC, USDT, and XUSD, enabling businesses to deploy stablecoin payments at commercial scale while meeting institutional compliance requirements. This launch reflects a broader shift from blockchain-native payment instruments to enterprise-ready commercial infrastructure capable of supporting real-world commerce and emerging AI-driven transaction models. From Payment Gateway to Payment Core: Universal Commerce Protocol (UCP) While stablecoin payment solutions have proliferated in recent years, most remain fragmented, narrowly scoped, or limited to experimental use cases. What has remained scarce is a unified payment core capable of supporting real-world commercial scale, governance, and automation. Rather than simply adding stablecoin acceptance as another feature, UQPAY AU rebuilt the underlying acquiring logic around a unified commerce architecture. Within UQPAY's payment stack, UCP is implemented to coordinate transaction execution, fund governance, and settlement across both human- and machine-initiated payment flows. At the platform level, UCP coordinates: Enterprise-grade custodial account and fund management Full lifecycle visibility of on-chain transaction states Automated clearing and settlement between stablecoins and fiat currencies Tight coupling between payment execution and merchant fulfillment logic Native payment support for AI agents and automated systems Built on UCP, UQPAY AU's stablecoin acquiring system is designed for durability, scalability, and operational control. Dual-Track Payment Architecture with Unified Governance UQPAY AU operates two parallel stablecoin payment rails governed by a single commercial and compliance core through UCP, allowing merchants and platforms to support both conventional and autonomous payment scenarios through one integration. Traditional Stablecoin Payment Gateway Designed for cross-border e-commerce, digital platforms, subscriptions, and content services, this gateway supports API-based and embedded checkout integrations, automated settlement from stablecoins to fiat custodial accounts, and end-to-end compliance with KYC, AML, and auditability requirements. x402 Intelligent Payment Gateway (AI-Native) Purpose-built for AI agents and automated systems, this gateway provides native support for the x402 payment protocol promoted by Coinbase. It enables micropayments, high-frequency transactions, and unattended machine-to-machine execution, with all funds centrally governed and settled through the UCP custodial account infrastructure. Through UCP, a single integration enables both human-initiated and machine-initiated payments under unified governance. Making x402 Commercially Viable at Scale UQPAY AU extends the x402 payment model beyond experimental implementations through two UCP-enabled architectural enhancements. First, UCP introduces standardized intermediate transaction states—such as "Submitted" and "In Progress"—at the execution layer. Transactions become observable immediately upon on-chain broadcast, without waiting for final block confirmation. This enables real-time status tracking, non-blocking execution, and early fulfillment initiation for digital content, AI inference, and usage-based services. Second, UCP implements an asynchronous, event-driven acquiring architecture based on webhook subscriptions. All transaction events are centrally orchestrated, with guaranteed delivery, retry logic, and horizontal scalability. This design supports internet-scale traffic and AI-native payment workloads while maintaining reliability and auditability under high load. Together, these capabilities provide the operational foundation required for stablecoin payments to function reliably in real-world commercial environments. Where Stablecoins and AI Commerce Converge The payments industry is entering a dual inflection point. Stablecoin transaction volumes surpassed USD 33 trillion in 2025, as global payment networks expand tokenized settlement capabilities. At the same time, AI agents are emerging as active economic participants, driving demand for autonomous, high-frequency, and usage-based payment models. UQPAY AU's UCP-powered stablecoin acquiring platform is designed to support this convergence across use cases including AI inference billing, agentic commerce, cross-border e-commerce, digital content platforms, and machine-to-machine payment scenarios. Executive Perspective Jack Li, CEO of UQPAY, commented: "Stablecoins and AI are reshaping both how payments are executed and who initiates them, in an AI-driven economy, products are no longer simply displayed—they are invoked. UCP provides the infrastructure that allows payments, fulfillment, and compliance to operate seamlessly across both human and machine-driven commerce." ABOUT UQPAY UQPAY Group is a Singapore-headquartered global fintech enterprise with core businesses spanning integrated digital payments, Payment Software-as-a-Service (Payment SaaS), and fintech venture capital. As a pioneer in payment innovation, UQPAY has built an end-to-end compliant, full-stack digital payment platform that enables businesses to seamlessly access global acquiring, virtual banking, card issuance, and stablecoin payment services through a single integration point. Since its founding in 2016, UQPAY has secured multiple payment licenses across key markets in Asia, North America, and Europe. As a principal member of Visa, Mastercard, and UnionPay International, the world's three major card schemes, UQPAY is deeply embedded in the global payment ecosystem.
